Section 3: Election and Term of Office. At the annual business meeting of the Institute, two board members shall be elected to serve a term of three years. There is no limit to the number of terms a person may serve as a board member. Section 4: Nominations. The chairperson of the board of directors shall appoint a nominating committee consisting of three people at least ninety days prior to the annual business meeting. They shall report their findings to the annual meeting. Each member of the nominating committee must be a member in good standing with a cooperating church and in full agreement with the Institute’s doctrinal statement. Additional nominations may be made at the annual business meeting, as long as the nominee is a member in good standing of a cooperating church and is in full agreement with the Institute’s doctrinal statement. Section 5: Meetings. The board of directors shall meet at least once a quarter (four times a year) for the purpose of reviewing policy, approving the budget, and transacting any and all other business which may properly come before said meeting at a place and time to be determined by the board chairperson and announced at the first meeting of the board after the annual business meeting. Section 6: Special Meetings. Special meetings of the board of directors may be called by or at the request of the director, chairperson of the board, or any two directors. There must be a notice given, in writing, to all directors at least seven days in advance of a called meeting. Section 7: Place of Meeting. The person or persons authorized to call meetings of the board of directors may fix any place as the place for holding any meeting called by them.

Section 8: Quorum. A quorum shall consist of not less than three of the members of the board of directors.

Section 9: Vacancies. In the event of a vacancy or vacancies occurring in the board of directors between annual meetings, the board of directors is empowered to select a successor or successors to serve for the unexpired terms.
