Article VIII: Officers Section 1: Officers. Officers for the Institute shall consist of director, chair- person, vice chairperson, secretary/treasurer.

Section 2: Elections and Terms of Office

a. D irector. The director of the Institute shall be elected by the board of directors to serve an indefinite term. Either party shall have the right to terminate this arrangement with a minimum 30-day notice, unless both parties agree to other terms. The director shall report to the board but is not a voting member of the board. b. T he Chairperson, Vice Chairperson, and Secretary/Treasurer shall be elected by the board at their first meeting after the annual business meeting and shall serve for a term of one year.

Section 3: Vacancies. Any vacancy in any office may be filled by the board of directors for the unexpired portion of the term.

Section 4: Chairperson of the Board. The chairperson shall be elected at the first meeting after the annual business meeting and shall generally supervise the work of the board of directors and shall preside at all meetings of the board. Section 5: The Director. The duties of the director shall be to serve as the executive head of [ your Institute ], to have general supervision of the activities of the Institute, to sign certificates awarded to students, to recommend to the board of directors appropriate faculty members, to carry out the policies of the board of directors, to recruit students, to insure accurate record keeping of student activities, to propose an annual budget to the board for adoption, to promote the interests of the Institute in as many contexts as possible, and to perform other duties as may be assigned by the board of directors. Section 6: Vice Chairperson. The duties of the vice chairperson shall be to serve in the absence of the chairperson, and to perform any other duties assigned by the board of directors.
