Section 7: Secretary/Treasurer. The secretary/treasurer shall keep the minutes at all business meetings, shall receive (or his/her authorized agents) all monies of the Institute and deposit those funds in a bank selected by the board of directors. The secretary/treasurer shall pay all bills and disburse all funds as authorized by the board of directors. The secretary/treasurer shall present timely and accurate financial reports to the board at its regular meetings and shall perform all duties related to the office of secretary/treasurer or assigned by the board of directors. Article IX: Meetings Section 1: Annual Business Meeting. Once a year, at a time and place to be decided by the board of directors, representatives from the co- operating churches shall be invited to attend an annual business meeting. The purpose of this meeting is to provide the cooperating churches a detailed report of the activities of the Institute in the previous year as well as to elect members of the board of directors. Article X: Property Property shall only be acquired as it is authorized by the board of directors. The title to all real estate and personal property acquired by [your Institute] shall be held in the name of the Institute. Article XI: Books and Records [Your Institute] shall keep correct and complete books and records of accounts and shall also keep minutes of the proceedings of its board of directors and any committees having any of the authority of the board of directors, and shall keep at the registered or principal office a record giving the names and addresses of the board of directors entitled to vote. All books and records of the corporation may be inspected by any board member, or his agent, for any proper purpose at any reasonable time. Section 2: Quorum. A quorum shall consist of the authorized representatives of at least 25% of the cooperating churches. Section 3: Election of Board Members. See Article VII, Sections 3 and 4.
